Terms of Service
These Terms govern your access to and use of the AeroFrohne Ai Photo Editing Intake and related services, websites, and integrations.
Welcome to AeroFrohne. These Terms of Service (“Terms”) form a binding agreement between you (“you”, “your”) and AeroFrohne (“AeroFrohne”, “we”, “us”, “our”) regarding your use of the AeroFrohne Ai Photo Editing Intake, our websites, and any associated products, features, content, integrations, or services (collectively, the “Services”).
1. Eligibility and Account Responsibility
You must be able to form a legally binding contract to use the Services. If you use the Services on behalf of an organization, you represent and warrant that you have authority to bind that organization to these Terms.
- You are responsible for maintaining the confidentiality of any credentials used to access the Services.
- You are responsible for all activity that occurs under your account or access tokens you authorize.
2. Scope of Services
The Services may include Ai enabled workflows, media intake, file handling, image enhancement, automation, analytics, and integrations such as Google services (e.g., Drive, OAuth) when configured. Functionality may change over time.
3. Customer Content and Permissions
“Customer Content” means any files, images, media, text, data, or materials you upload, submit, transmit, or otherwise make available via the Services.
- You retain your rights in Customer Content, subject to the licenses you grant in these Terms.
- You grant AeroFrohne a limited, non-exclusive license to host, process, reproduce, and display Customer Content solely to provide and improve the Services and to perform requested deliverables.
- You represent and warrant that you have all rights and permissions necessary to upload and authorize processing of Customer Content, including any personal data, property images, or third party intellectual property.
4. Acceptable Use
You agree not to misuse the Services. For example, you will not:
- Use the Services for unlawful, infringing, deceptive, or fraudulent purposes.
- Upload malicious code, attempt unauthorized access, or interfere with system integrity or security.
- Reverse engineer, decompile, or attempt to discover source code or underlying models except where prohibited by law.
- Submit content that violates third party rights, including copyright, trademark, privacy, or publicity rights.
5. Ai Outputs and Professional Judgment
Ai assisted outputs may be probabilistic and may contain errors, omissions, or artifacts. You are responsible for reviewing outputs for accuracy, compliance, and suitability for your intended use (including MLS or platform rules). AeroFrohne does not guarantee that Ai outputs will be error-free or meet every subjective preference without revision.
6. Third Party Services and Google Integrations
The Services may interoperate with third party services (including Google). Your use of third party services is governed by their terms and policies. AeroFrohne is not responsible for third party services, outages, or changes to their APIs.
When you authorize Google integrations (e.g., Google Drive), you grant the Services permission to access only the scopes you approve. You may revoke access at any time through your Google account settings.
7. Fees, Quotes, and Payment
Certain Services may be offered for a fee. Where applicable, AeroFrohne will provide pricing, quotes, and scope details before work begins. You agree to pay all applicable fees and taxes based on the agreed scope and invoice terms.
8. Turnaround, Revisions, and Delivery
Turnaround times and delivery formats depend on project scope, input quality, and your requested deliverables. Same day processing is available for qualifying batches, subject to operational capacity and confirmed scope.
- Revisions are handled according to the agreed scope and any applicable pricing schedule.
- Delivery may occur via secure links, email, Drive, or other mutually agreed channels.
9. Intellectual Property
AeroFrohne and its licensors retain all rights in the Services, including software, workflows, UI, branding, and proprietary processes. Except as expressly permitted, no rights are granted to you.
10. Confidentiality
If you provide non-public information marked or reasonably understood as confidential, both parties agree to protect it using reasonable care and use it only for the purpose of providing or receiving the Services.
11. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEROFROHNE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEROFROHNE WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, AEROFROHNE’S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNTS PAID BY YOU TO AEROFROHNE FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE THREE (3) MONTHS PRECEDING THE EVENT.
13. Indemnification
You agree to indemnify and hold harmless AeroFrohne from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from (a) your Customer Content, (b) your misuse of the Services, or (c) your violation of these Terms or applicable law.
14. Termination
We may suspend or terminate access to the Services if you violate these Terms or if required for security, legal, or operational reasons. You may stop using the Services at any time. Certain sections (e.g., IP, disclaimers, limitation of liability) survive termination.
15. Changes to the Services or Terms
We may update the Services and these Terms from time to time. The “Last Updated” date indicates when changes were made. Continued use of the Services after changes become effective constitutes acceptance of the updated Terms.
16. Governing Law
These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles. You agree to submit to the exclusive jurisdiction of state and federal courts located in Texas for disputes arising out of these Terms, unless otherwise required by applicable law.
