Photo Licensing

“Licensed Images” means all photographs, aerial images, drone imagery, still frames, and derivative still images delivered by AeroFrohne to the Licensee.

“Derivative Works” means cropped, resized, color corrected, annotated, or otherwise modified versions of the Licensed Images that do not fundamentally alter the original subject matter.

AeroFrohne (“Licensor”) grants Licensee a non-exclusive, non-transferable, non-sublicensable, perpetual, worldwide license to use the Licensed Images for:

• marketing, advertising, and promotion
• websites, social media, listings, brochures, and presentations
• internal business use and archives
• client deliverables, reports, and documentation (including public sector documentation when applicable)

This license does not convey ownership.

All Licensed Images remain the exclusive intellectual property of AeroFrohne. No copyright, trademark, or ownership rights are transferred under this license. AeroFrohne retains the unrestricted right to license the images to other parties and use the images for portfolio, marketing, demonstrations, publications, and promotional purposes.

Licensee shall not:

• sell, resell, sublicense, assign, or distribute Licensed Images as standalone files
• represent or claim authorship or ownership of the Licensed Images
• use the Licensed Images in any unlawful, defamatory, misleading, or deceptive manner
• use the Licensed Images to imply AeroFrohne endorsement of a product, service, or position
• enable third parties to extract and reuse the Licensed Images outside Licensee’s organization

If third parties (e.g., brokers, MLS platforms, partners, contractors, agencies) need access to the Licensed Images, such use must be solely for the Licensee’s benefit and controlled by the Licensee. Any independent third party reuse requires a separate license from AeroFrohne.

Where practical, attribution is appreciated but not required: “© AeroFrohne” or “Images by AeroFrohne”.

Licensed Images are provided “as is.” AeroFrohne disclaims all warranties, express or implied, including fitness for a particular purpose. To the maximum extent permitted by law, AeroFrohne shall not be liable for indirect, incidental, or consequential damages arising from the use of the Licensed Images.

This license terminates automatically upon Licensee’s material breach. Upon termination, Licensee must cease use of the Licensed Images. Provisions regarding ownership, restrictions, and liability survive termination.

This license is governed by the laws of the State of Texas, without regard to conflict of law principles.

“Client” means the entity identified on the applicable Order/Invoice/SOW.

“Exclusive Licensed Images” means the photographs and visual media identified in the applicable Order/Invoice/SOW as exclusive (including any delivered file formats, exports, or final renders included in the scope).

“Final Deliverables” means the completed, delivered media files provided to Client (e.g., JPG, TIFF, PNG), as specified in the Order/Invoice/SOW.

Upon full payment, AeroFrohne hereby assigns and transfers to Client all right, title, and interest in and to the Exclusive Licensed Images and the Final Deliverables, including all copyrights and other intellectual property rights, to the maximum extent permitted by law.

Client will be deemed the copyright owner of the Exclusive Licensed Images and Final Deliverables as of the date of delivery, subject only to the limited retained rights in E7.

Client may use, reproduce, distribute, publicly display, transmit, modify, and otherwise exploit the Exclusive Licensed Images and Final Deliverables for any lawful purpose, worldwide, in any media now known or later developed, without further payment to AeroFrohne.

Client may grant third parties access to and rights in the Exclusive Licensed Images and Final Deliverables, including sublicensing, resale as part of packaged offerings, and transfer/assignment, provided such use is lawful and does not violate third-party rights (including property, trademark, or privacy rights).

Unless otherwise stated in the Order/Invoice/SOW, this ownership transfer is worldwide and perpetual. Any limits stated in the Order/Invoice/SOW (e.g., deliverables list, exclusions, special handling) control.

Client is responsible for ensuring that downstream uses comply with applicable laws and third party rights, including rights of privacy, publicity, trademarks, and property releases if needed for the intended use. AeroFrohne does not provide legal advice or guarantee release requirements for all use cases.

Notwithstanding the ownership transfer, AeroFrohne retains the right to:

• maintain internal archival copies for recordkeeping and compliance; and
• reference the engagement in general capability statements (without publishing the Exclusive Licensed Images), unless Client provides written instructions to the contrary.

AeroFrohne will not publicly display, publish, or license the Exclusive Licensed Images without Client’s prior written consent, except where required by law.

If Client fails to pay in full, no ownership transfer occurs. Any use of the Exclusive Licensed Images prior to full payment is unauthorized, and Client must cease use upon notice. Upon full payment, ownership transfers as described in E2.

This license is governed by the laws of the State of Texas, without regard to conflict of law principles.
